What it means
A company can change its name by special resolution and filing, receiving a new certificate of incorporation on change of name.
Why it matters
The company number does not change and neither do its contracts, debts or history. It is the same legal person with a different name.
What it looks like in practice
Everything referencing the old name needs updating: bank, HMRC, insurers, licences, contracts, website, invoices and stationery.\n\nThe old name remains searchable on the register.
What to watch out for
Assuming a name change escapes anything. It does not affect liabilities, and using it to distance a company from a history is visible on the public record.
