Partnerships and channel

Selling through somebody else, or alongside them.

Please note: This page explains what a term means. It is general information, not legal, financial, tax or investment advice, and it does not know anything about your business. Before you sign, file or commit to anything, check it with an accountant, a solicitor, or the official guidance we link to.

What it means

Channel arrangements include resellers, distributors, agents, affiliates and referral partners, each with a different legal and commercial shape.

Why it matters

A partner brings reach you do not have. It also puts somebody between you and the customer, and margin between you and the revenue.

What it looks like in practice

An agent sells on your behalf and the contract is with you. A reseller buys and sells on, so the customer is theirs. That distinction decides who owns the relationship, the data and the risk.\n\nCommercial agency arrangements carry statutory compensation rights on termination in the UK.

What to watch out for

Commercial agents' regulations. Terminating an agency can trigger a compensation payment that surprises principals, and it cannot be contracted out of.

Where to get proper advice

A commercial solicitor before appointing an agent — the regulations are the part people do not know about.
