What it means
A company is dormant for Companies House purposes if it has had no significant accounting transactions in the period.
Why it matters
Dormant companies still file accounts and a confirmation statement, and failing to do so leads to strike-off and penalties.
What it looks like in practice
Dormant company accounts are very simple and can be filed online. HMRC must also be told the company is dormant for corporation tax.\n\nPaying a filing fee from the company account can end dormancy — pay it personally.
What to watch out for
Keeping a company dormant to reserve a name, and forgetting the filings. And associated company rules, where a dormant company can still count in some circumstances.
Where to get proper advice
Your accountant.
